EULA - End User License Agreement

License Agreement

Read the terms of this Agreement carefully before you obtain or open the software media package. You will express your consent to be bound by the terms of this Agreement by obtaining or opening the software media package. The software media package contains the XML Convert software, data files and documentation (collectively "XML Convert"). If you do not agree to all the terms in this Agreement, then you must delete any copies of XML Convert from your computer(s).

Grant of license:

Unidex Inc. grants you a non-exclusive, non-transferable license for the internal use of XML Convert.

Ownership:

XML Convert is confidential and copyrighted. Title to XML Convert and all associated intellectual property rights is retained by Unidex Inc.

Restrictions:

You may not modify, decompile or reverse engineer XML Convert. You may not sell, rent or lease XML Convert (or any software of which XML Convert is a component) to third parties. No right, title or interest in or to any trademark, service mark, logo or trade name of Unidex Inc. is granted under this Agreement.

Unidex Inc. does not provide support for XML Convert.

Unidex Inc. reserves the right to discontinue distribution of XML Convert at any time without notice.

Unidex Inc. reserves the right to change the prices of XML Convert and its services at any time without notice.

Warranty Disclaimer and Limitation of Liability:

XML Convert is licensed to the user on an "AS IS" basis. Unidex Inc. makes no warranties, either express or implied, with respect to XML Convert including but not limited to any warranty of merchantability or fitness for any particular purpose. Unidex Inc. does not warrant that the operation of the software will be uninterrupted or error-free, or that defects in the software will be corrected. You the user are solely responsible for determining the appropriateness of the software for your use and accept full responsibility for all risks associated with its use. Unidex Inc. is not and will not be liable for any direct, indirect, special, incidental or other damages of any kind (including loss of profits or interruption of business) however caused even if Unidex Inc. has been advised of the possibility of such damages.

Governing law:

Any action related to this Agreement will be governed by the laws of the State of New Jersey and the federal laws of the United States of America.

Severability:

If any provision of this Agreement is held to be unenforceable, then this Agreement will remain in effect with the provision omitted and all other terms remaining enforceable, unless omission would frustrate the intent of the parties, in which case this Agreement will immediately terminate.

Complete agreement:

This Agreement is the entire agreement between you and Unidex Inc. relating to its subject matter. This Agreement may not be modified other than in a writing executed by Unidex Inc.
